There are two ways to upgrade SQL Server 2005 to SQL Server 2008:

* In-place upgrade uses the SQL Server 2008 setup program to directly upgrade a SQL Server 2005 instance to a SQL Server 2008 instance on the same machine. The older SQL Server 2005 instance is replaced, and the data is converted in-place by the new SQL Server 2008.
* Side-by-side upgrade performs operations to copy all data and other database components from a SQL Server 2005 instance to a separate SQL Server 2008 instance, with both instances running on the same machine, or separate machines.
