File or assembly name [something.dll], or one of its dependencies, was not found

Summary.  I am having the darnest time trying to figure out why making a web reference in VS 2003 that when I create its object that I recieve a variant of the following below.  I make the reference in VS 2005 or 2008 everthing works just fine.  And before asking I have to convert a reference used by a 1.1 probject to point to this new web services so it is why I am stuck in VS 2003.

So when I call PDF abc = new PDF(); the error appears.
any suggetions in working around or solving this issue would be greatly appreciated.
